These Terms of Service ("Terms") govern your access to and use of the websites, applications, APIs, and services (collectively, the "Services") provided by Auroinfo LLC ("we," "us," or "our"), operating under the brand AtomLocal. By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Eligibility

You must be at least 18 years old and capable of entering into a legally binding agreement to use our Services. By using the Services, you represent and warrant that you meet these requirements.

2. Account Registration

To access certain features, you may need to create an account. You agree to provide accurate, complete information and to keep your account credentials secure. You are responsible for all activity that occurs under your account. Notify us immediately at support@atomlocal.com if you suspect unauthorized access to your account.

3. Business Listing Claims

Our Services allow business owners to claim and manage their business listings. By claiming a listing, you represent that you are authorized to act on behalf of the business. We reserve the right to verify claims and to reject or revoke claims that we determine to be fraudulent or unauthorized.

4. Acceptable Use

You agree not to:

  • Use the Services for any unlawful purpose or in violation of any applicable laws
  • Submit false, misleading, or fraudulent business information
  • Scrape, crawl, or harvest data from our Services without authorization
  • Interfere with or disrupt the integrity or performance of the Services
  • Attempt to gain unauthorized access to our systems or networks
  • Use the Services to send unsolicited communications (spam)
  • Impersonate any person or entity or misrepresent your affiliation
  • Reverse engineer, decompile, or disassemble any part of the Services

5. API Usage

Access to our API is subject to rate limits and usage terms as specified in your API plan. You agree to comply with all API documentation, rate limits, and usage policies. We may suspend or terminate API access for violations of these terms or excessive usage. API data may not be used to create a competing directory service without prior written consent.

6. Intellectual Property

The Services, including all content, features, functionality, software, and design, are owned by Auroinfo LLC and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works of our Services without our express written permission.

7. User Content

You retain ownership of any content you submit to the Services (such as business descriptions, photos, and reviews). By submitting content, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, display, and distribute that content in connection with operating and providing the Services.

8. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY INFORMATION PROVIDED THROUGH THE SERVICES IS ACCURATE OR COMPLETE.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, AUROINFO LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless Auroinfo LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your access to or use of the Services, your violation of these Terms, or your violation of any third-party rights.

11. Termination

We may suspend or terminate your access to the Services at any time, with or without cause, with or without notice. Upon termination, your right to use the Services will immediately cease. All provisions of these Terms that should reasonably survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Delaware.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website. Your continued use of the Services after changes are posted constitutes acceptance of the revised Terms.
